Introduction

These Terms and Conditions govern your use of services provided by HIRE SOLAH ENTERPRISE (Registration No: 202403296986 / CT0143106-H). By engaging our services, you agree to these terms. This document constitutes a legally binding agreement between you (the "Client") and HIRE SOLAH ENTERPRISE (the "Service Provider"). Please read these terms carefully before engaging our services.

Definitions

For the purpose of these Terms and Conditions:

• "Services" refers to web development, design, digital marketing, and related digital services provided by HIRE SOLAH ENTERPRISE.
• "Client" refers to any individual or entity that engages our services.
• "Deliverables" refers to any materials, products, or outcomes produced as a result of our services.
• "Project" refers to the scope of work agreed upon between the Client and Service Provider.

Services

We provide web development, design, and related digital services. All services are provided on an "as is" basis. We strive to meet your requirements but cannot guarantee that our services will meet all your expectations or be error-free.

The specific details of the services to be provided will be outlined in a separate project proposal or statement of work. Any services not explicitly included in the project proposal are considered outside the scope of the agreement and may require additional fees.

We reserve the right to refuse service to anyone for any reason at any time. We may, at our sole discretion, limit or cancel quantities purchased per person, per household, or per order.

Project Timeline and Deliverables

We will make every effort to complete the project within the estimated timeline. However, timelines are estimates and not guaranteed. Delays may occur due to various factors, including but not limited to:

• Client delays in providing necessary information, feedback, or approvals
• Changes to the project scope
• Technical challenges unforeseen at the project outset
• Force majeure events

The project will be considered complete when all deliverables outlined in the project proposal have been provided to the Client and final payment has been received.

Payment Terms

Payment terms will be detailed in the project proposal or invoice and may include:

• An initial deposit (non-refundable) to commence work
• Milestone payments based on project progress
• Final payment upon project completion

Late payments may result in work being paused until payment is received. Late payment fees may apply for payments received after the due date specified on the invoice.

Client Responsibilities

To ensure the successful completion of the project, the Client agrees to:

• Provide accurate and complete information necessary for project completion
• Review and provide feedback on work in a timely manner (typically within 5 business days)
• Make payments according to the agreed schedule
• Obtain necessary permissions, licenses, or consents for any content provided to us
• Designate a primary contact person for communication regarding the project
• Attend scheduled meetings or calls related to the project
• Notify us promptly of any concerns or issues related to the project

Intellectual Property

Upon full payment of all invoices, the Client receives rights to the final deliverables as follows:

• Custom code developed specifically for the Client becomes the Client's property
• The Client receives a license to use any third-party elements incorporated in the deliverables
• We retain rights to concepts and designs not selected for the final project
• We retain the right to use the completed work as part of our portfolio for self-promotion
• Any pre-existing intellectual property owned by us remains our property

The Client guarantees that all elements provided to us for inclusion in the deliverables are legally owned or licensed to the Client. We are not responsible for any legal claims related to content provided by the Client.

Limitation of Liability

We are not liable for any indirect, incidental, or consequential damages arising from the use of our services. Our total liability shall not exceed the total amount paid for the services. This limitation of liability applies to all claims, whether based on warranty, contract, tort, or any other legal theory.

We are not responsible for:

• Content errors or inaccuracies provided by the Client
• Security breaches or data loss not directly caused by our negligence
• Performance issues related to the Client's hosting environment or third-party services
• Any modifications made to the deliverables by the Client or third parties after project completion
• Loss of revenue, profits, or data related to the use of our services

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the project. This includes, but is not limited to, business strategies, trade secrets, customer information, and unreleased product details.

This confidentiality obligation survives the termination of our business relationship but does not apply to information that is publicly available or legally required to be disclosed.

Governing Law

These Terms and Conditions are governed by the laws of Malaysia. Any disputes arising from these terms shall be resolved in the courts of Malaysia.

Amendments

We reserve the right to update or modify these Terms and Conditions at any time without prior notice. Changes will be effective immediately upon posting on our website. Your continued use of our services following any changes indicates your acceptance of the revised terms.
